This PropertyLens Data Module Addendum (this “Addendum”) supplements the COVU OS Lite Terms of Service and the applicable Additional Module Order between COVU Inc. (“COVU”) and the accepting insurance agency (“Agency”). It applies only to PropertyLens and related Address Insite products identified in the Module Order (the “Data Products”).

Order of precedence. Where documents conflict, the following order applies, and only for the subject each document expressly addresses: (1) a negotiated enterprise master services agreement executed by both parties, for the scope it covers; (2) the Data Processing Addendum, for the processing of Agency Customer Data; (3) the Security Exhibit, for security commitments; (4) the Service Network Services Agreement, for Service Network work; (5) an accepted Feature-Specific Consent, Additional Module Order, Service Order, or data addendum, for the feature, scope, price, cap, and term it names; and (6) the OS Lite Terms of Service, for the base platform. The Privacy Notice is a notice and acknowledgment and does not override any of the above or waive a statutory right. A document does not change another document on a subject it does not expressly address: this Addendum never authorizes a sensitive data connection or Service Network work, and this Addendum alone does not create a charge without an accepted Module Order.

1. Activation prerequisite

The Data Products may not be sold, enabled, demonstrated with live Agency/customer queries, or included in a customer-facing production workflow until:

  1. COVU and Address Insite, Inc. have fully executed the reseller agreement;
  2. COVU has preserved the fully executed agreement in the Agreement Repository;
  3. Legal has confirmed the agreement grants the exact downstream display, resale, embedding, report, retention, pricing, and end-customer rights used by the product;
  4. Product and Security have documented the field-level data flow, caching, retention, deletion, access, and subprocessor treatment; and
  5. counsel has confirmed the FCRA and state consumer-report treatment of each enabled product and use case.

As of July 28, 2026, the repository contains only an Address Insite-signed counterpart. COVU's signature remains blank; this is a blocking prerequisite.

2. Limited license

Subject to the Module Order and upstream rights, COVU grants the Agency a limited, nonexclusive, nontransferable, nonsublicensable license during the Order term to:

  • submit authorized property addresses or coordinates through OS Lite;
  • view Data Product results within OS Lite;
  • use the results for the Agency's lawful insurance-service, risk-review, quoting-support, policy-review, customer-support, and recordkeeping purposes approved in the Module Order;
  • include a result or COVU-created presentation of it in an Agency customer interaction or insurance record where permitted by the Module Order; and
  • retain delivered reports only for the approved business, support, insurance-record, and compliance periods.

The Agency receives no ownership in the Data Products, source databases, scoring methods, images, models, or vendor technology.

3. Restrictions

The Agency will not:

  • sell, sublicense, publish, bulk export, scrape, or redistribute raw Data Product data or credentials;
  • provide standalone access to another agency, data broker, lead generator, lender, employer, landlord, or unrelated third party;
  • reverse engineer a score, model, source database, or API;
  • use the Data Products to build a competing property-data product or database;
  • remove required proprietary notices or attribution;
  • exceed documented caching, report-retention, or user limits;
  • use the Data Products for surveillance, discriminatory targeting, unlawful redlining, or another unlawful purpose; or
  • use a Data Product as a consumer report or for a purpose regulated by the Fair Credit Reporting Act (“FCRA”) unless COVU has expressly identified that product and use in a separately approved written schedule.

The Agency may charge its own customers for its broader services and may include approved Data Product outputs in those services. That does not permit standalone resale or redistribution of the underlying data unless the Module Order expressly grants it based on verified upstream rights.

4. Source, accuracy, and professional judgment

Data Products may be derived from public records, assessor data, MLS-related sources, permits, images, hazard data, estimates, models, and other third-party sources. Those sources may be incomplete, delayed, estimated, inconsistent, or wrong.

The Data Products are informational review aids. They are not an appraisal, inspection, engineering report, title report, legal opinion, coverage determination, underwriting decision, carrier approval, replacement-cost guarantee, or promise that all hazards or property conditions have been identified. The Agency must independently verify material information and apply qualified human and carrier judgment before using a result in a consequential insurance action.

Required customer-facing qualification:

> Property information is compiled from third-party sources and estimates and may be incomplete or inaccurate. Verify material facts before relying on it for insurance or property decisions.

5. FCRA and regulated decisions

The parties intend the Data Products enabled under this Addendum to be property-focused information, not consumer reports. That statement is not sufficient if an enabled source, score, output, or actual use meets the FCRA definition or another state consumer-report rule.

COVU will maintain a product-by-product legal classification. Until counsel clears a use, the Agency will not use a Data Product for credit, employment, tenant screening, insurance eligibility or pricing based on consumer characteristics, or another FCRA permissible-purpose decision. If a Data Product or use is later classified as a consumer report, COVU will require a separate schedule covering permissible purpose, certifications, notices, adverse-action responsibilities, disputes, accuracy procedures, audits, and vendor pass-through obligations before activation.

6. Data handling

COVU and the Agency will process query data and results under the Terms, DPA, Privacy Notice, Security Exhibit, and displayed Module Order. The Module Order must identify:

  • query fields sent upstream;
  • results returned;
  • whether the vendor stores queries or uses them for product improvement;
  • vendor retention, deletion, security, location, and subprocessor terms;
  • COVU and Agency caching and report-retention limits;
  • user roles permitted to access results; and
  • the applicable deletion and legal-hold treatment.

COVU will not promise that an address or coordinate is owned by, unique to, or confidential to the Agency. COVU will protect the fact of an Agency query, any Agency/customer linkage, account identifiers, and nonpublic context as Agency Data and Confidential Information.

7. Third-party dependency and changes

The Data Products depend on Address Insite and underlying sources. COVU may modify, suspend, replace, or terminate an affected Data Product if:

  • an upstream right, source, license, API, or product is lost, restricted, or materially changed;
  • continued use may violate law, a source restriction, or another person's rights;
  • a security, accuracy, or consumer-protection concern creates material risk; or
  • Address Insite stops or materially changes the affected product.

COVU will use reasonable efforts to give advance notice when practicable. The Agency's exclusive commercial remedy for discontinued prepaid access is a prorated refund or credit for the unused affected portion. The Agency has no minimum spend or obligation to continue using a Data Product unless the Module Order expressly states otherwise.

8. Pricing and payment

COVU sets the Agency-facing price stated in the Module Order. COVU's upstream cost and margin are not part of the Agency's pricing formula unless the Order says so. Only successful billable calls or other objective units expressly described in the Order are charged. The Order must state the treatment of failures, retries, duplicates, tests, corrected results, allowances, and caps.

9. Intellectual property and claims

The Agency will defend and indemnify COVU and its licensors against a third-party claim to the extent caused by the Agency's prohibited use, unlawful input, unauthorized redistribution, or violation of Section 3 or 5.

COVU's paid-service intellectual-property indemnity under the Terms applies to COVU-created technology, subject to its exclusions and limits. COVU does not grant an indemnity for an upstream source beyond the protection COVU actually receives and may lawfully pass through, except to the extent a claim is caused by COVU's independent breach of this Addendum.

> Outside-counsel negotiation point: Before launch, counsel must determine whether the upstream Address Insite intellectual-property and source-rights indemnity is adequate and whether COVU should accept broader downstream exposure than it can recover upstream.

10. Termination

This Addendum continues while the related Module Order is active. Either party may terminate the affected Data Product as permitted by the Order or Terms. COVU may terminate immediately on upstream rights loss, prohibited use, or material legal/security risk. On termination, the Agency must stop new queries and delete or stop using Data Products as required by the disclosed retention schedule and upstream license, subject to lawful insurance-record retention.

11. Acceptance

COVU will preserve the accepted version/hash, completed Module Order, displayed limitations, accepter identity and authority, timestamp, IP address, user agent, and payment mandate in the agreement ledger and provide a downloadable copy.
